Sandra Toots is an experienced attorney-at-law specializing in corporate and contract law. She provides clients with comprehensive support across a broad range of corporate law matters, including the establishment of companies, mergers and demergers, acquisitions, and restructuring processes.
Sandra has successfully led multiple domestic and cross-border mergers and demergers and has advised clients on various acquisitions. Sandra’s services encompass the entire transaction process — from negotiating and conducting legal due diligence to preparing necessary documents and managing post-closing activities. Sandra has extensive experience in drafting complex shareholder agreements and developing comprehensive option programs, and she has supported numerous start-ups and growth companies from initial setup through later capital-raising stages. In addition, Sandra assists clients with daily business operations, supporting clients in managing their day-to-day business activities, as well as addressing compliance and liability-related matters.
She also assists clients in drafting various contracts and resolving different contractual issues. Sandra’s strengths lie in her attention to details and her ability to anticipate various scenarios, ensuring clients’ rights are thoroughly protected with well-structured, carefully drafted agreements.
Sandra is also a trusted advisor in employment law, assisting clients with a wide range of employment-related issues, including drafting and terminating employment and service agreements, as well as addressing any workplace, employee privacy, and data protection concerns.

Before rejoining Sirel & Partners, Sandra worked as an attorney-at-law at Law Firm KPMG Law, specializing in mergers and acquisitions, managing variety of large-scale restructuring processes as well as mergers and demerger transactions. Earlier in her career, she practiced also as an attorney with Law Firm Lentsius & CASUS, where she represented clients in both court and out-of-court disputes. Sandra also gained experience as a legal adviser at the Procurement Division of the Police and Border Guard Board, where she conducted public procurements and advised the Board on all matters related to procurement and contract formation.
